Boss Baker Program Agreement and Content Submission Guidelines These Content Submission Guidelines shall be incorporated into and governed by the Terms & Conditions of the Baked RewardsBoss Baker Program by and between Boss Baker Participant (“Participant” or “Independent Contractor”) and Beauty Bakerie Cosmetics Brand, LLC (“Company”) dated as of 2/9/2018 as amended, modified and supplemented from time to time, the “Content Submission Guidelines.” By agreeing to these Content Submission Guidelines, the Participant also agrees and acknowledges the Master Agreement’s governance over the Terms and Conditions of the Boss Baker Program. Content, for the purposes of this Agreement, is defined as any content created in any medium, picture, video, spoken and/or written blog/review submission to the Company including any Beauty Bakerie Cosmetics Brand product(s). The subsequent sections outline rules for content submission and approval in exchange for future discounted products. Failure to comply with the Content Submission Guidelines will result in Termination (Section 4 of the Master Agreement) from the Baked Rewards Boss Baker Program and disable your exclusive promo code. Content submission through WEBSITE CONTENT SUBMISSION FORM must take place using the form at URL: https://www.beautybakerie.com/pages/boss-baker-content-submission-form. Contact marketing@beautybakerie.com with any technical or program-related questions. Section 1: Acceptance into Program Upon acceptance into Boss Baker Program, you received an email directing you to accept the Terms & Conditions of the Program. Once accepted, you will receive login information for the Boss Baker Program and an exclusive promo code for discounted products. Redeem your exclusive promo code by logging into https://www.beautybakerie.com/account/login to order products and enter your discount promo code at checkout. The first time you sign in, you must follow the forgot password prompts to access your account. New promo codes will be generated monthly for discounts on additional products. Discount codes and other program rewards and promotions cannot be stacked. Promo code is for the intended recipient only and cannot be shared or transferred. Beauty Bakerie Cosmetics Brand reserves the right to change or deactivate exclusive promo codes or automatically remove Boss Baker Participant from the Program upon Participant sharing their code. • Program Effective Date: Upon first order receipt date using Boss Baker exclusive promo code. • Participant Term: Ongoing. Participation may be terminated at any if Participant fails to comply with program Terms & Conditions or Content Guidelines. Section 2: Content Submission Guidelines In order to remain eligible for the Program, Participant is required to submit Content through the WEBSITE CONTENT SUBMISSION FORM within 30 days of receiving the product through the Boss Baker Program. Boss Bakers must tag @beautybakeriemakeup and mention all products used in the caption including the @beautybakeriemakeup Instagram handle. The hashtag #beautybakeriebossbaker must also be included in the caption or products used section. Participant may use any other relevant Beauty Bakerie hashtags or include tags where appropriate. Section 2.1 – For Image or Video Content Creation Bright and high-resolution video/image demonstrating product and/or containing a finished look for social media. Solid background required and no watermarks preferred. For video only, show product packaging pre- or post-application. Mention each Beauty Bakerie shade and product used, tag Beauty Bakerie on Instagram (@beautybakeriemakeup), and use hashtag #beautybakeriebossbaker. Mention product benefits (available on Beauty Bakerie website under each product’s description). Submit links to WEBSITE CONTENT SUBMISSION FORM for Beauty Bakerie Cosmetics Brand review and approval. Section 2.2 – For spoken or Written Reviews Mention each Beauty Bakerie shade and product used, tag Beauty Bakerie on Instagram (@beautybakeriemakeup), and use hashtag #beautybakeriebossbaker. Mention product benefits (available on Beauty Bakerie website under each product’s description). If including video and/or images in the review, please see Section 2.1 above “For image or video content submission.” Submit links to WEBSITE CONTENT SUBMISSION FORM for Beauty Bakerie Cosmetics Brand review and approval. Section 2.3 – Submitting Content for Beauty Bakerie Review You agree to submit content to WEBSITE CONTENT SUBMISSION FORM within 30 days of receiving your first order. Please bookmark the WEBSITE CONTENT SUMISSION FORM for easy access to content submission. WEBSITE CONTENT SUBMISSION FORM will guide you through the steps of submitting links to your content for Beauty Bakerie Cosmetics Brand review and approval. Once content is approved, you are approved to post to your channels and will be eligible for distribution and reposted content through Beauty Bakerie social media channels. You will also receive a new exclusive promo code to continue participating in the Boss Bakers Program and receive discounted product. Section 2.4 – Beauty Bakerie Content License During the Term, Contractor shall, and does hereby grant Company a license for each Deliverable which is the subject of this Submission Guidelines, for use throughout the world, in any format, media or medium, now known or hereinafter devised, in connection with the marketing, promotion and advertising of products of the Company ("Deliverable License"), subject to the following terms and conditions. The permissive uses of any Deliverable in connection with the advertising, promotion and advertising pursuant to a Deliverable License may include but not be limited to use on the Internet, in retail POS displays, packaging, Out of Home Advertising ("OOH") emails, sweepstakes and on all forms of media including but not limited to cable, network or online television, digital media platforms, social media platforms ("SMP's") trade videos, radio print advertisements public signage and websites of the Company and any of the Company's authorized affiliates, agents, resellers and distributors. The Deliverable License shall apply to any discrete, creative work of the Contractor (e.g., a written article, a photograph, a video or a musical performance) which is included in any Deliverable. Subject to the terms of the Master Agreement, the Deliverable License hereby grants the Company and its authorized affiliates, agents, resellers and distributors the right to use any Deliverables throughout the License Term. The Deliverable License shall be transferable and sublicenseable by the Company to any other third parties. The License Term shall commence as of the Effective Date of Agreement and, unless terminated earlier pursuant to the express provisions of the Agreement, shall continue in perpetuity following the Effective Date. Contractor may reproduce, perform, display or distribute all, or any portion of the Contractor's creative work which is included within any Deliverable Contractor hereby agrees not to disclose or otherwise make available, any Confidential Information (defined below) or Customer Information (defined below) of the Company, to any third party without the prior written consent of the Company. Confidential Information shall include, but not be limited to, any information concerning the Company's trade secrets, product manufacturing, technology, vendors, strategies and business operations. Customer Information shall include, but not be limited to, any identifying data, names, email addresses, addresses, account numbers, passwords, personal preferences, telephone numbers, marketing data, credit data and any other identification data of, or related to, any persons who are customers of, or interacting with, the Company and or the Company's website(s), social media platforms or by any other form of interaction, now known or hereinafter devised. Section 3 – Agree to Master Service Agreement and Content Submission Guidelines By completing the form below, you agree to the Master Service Agreement and Content Submission Guidelines of the Boss Bakers Program. Failure to comply with the Terms & Conditions will disqualify you from participation in the Program and disable your exclusive promo code.
